LICENSE AGREEMENT

This License Agreement ("Agreement") is between The Immunity Code LLC and you (" the Licensee"). The Licensor is the owner of an online fat loss course titled The Immune Centric Fat Loss Course. 

 

By purchasing or accessing the Course, the Licensee agrees to be bound by the terms and conditions of this Agreement. If the Licensee does not agree to the terms and conditions of this Agreement, the Licensor is unwilling to license the Course to the Licensee and the Licensee must not access the Course.

 

  1. License Grant. The Licensor grants the Licensee a limited, non-exclusive, non-transferable license to access and view the Course for personal and non-commercial use only. The Licensee may not share, sell, distribute, or otherwise make the Course available to any third party.

  2. Intellectual Property. The Course and all materials provided in connection with the Course, including but not limited to videos, audio recordings, texts, images, and graphics, are the property of the Licensor and are protected by copyright and other intellectual property laws. The Licensee may not use any of the Course materials for any purpose other than personal and non-commercial use. The Licensee must not copy, reproduce, distribute, or create derivative works from the Course or any of the Course materials without the express written permission of the Licensor. The Licensee must not engage in any activity that would constitute copyright infringement or theft of content.

  3. Termination. The Licensor may terminate this Agreement and the Licensee's access to the Course at any time, without notice, for any reason, including but not limited to a breach of this Agreement by the Licensee. Upon termination, the Licensee must immediately cease all use of the Course and destroy any copies of the Course materials in the Licensee's possession.

  4. Disclaimer of Warranties. The Course and all materials provided in connection with the Course are provided on an "as is" and "as available" basis. The Licensor makes no representations or warranties of any kind, express or implied, as to the operation of the Course or the information, content, materials, or products included in the Course. The Licensor will not be liable for any damages of any kind arising from the use of the Course, including but not limited to direct, indirect, incidental, punitive, and consequential damages.

  5. Governing Law. This Agreement and any dispute arising out of or in connection with this Agreement will be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.

  6. Entire Agreement. This Agreement constitutes the entire agreement between the Licensor and the Licensee and supersedes all prior or contemporaneous communications and proposals, whether oral or written. This Agreement may not be amended or modified except in writing signed by both parties.

  7. Waiver. The failure of either party to exercise any right provided for in this Agreement will not be deemed a waiver of any right or provision.

  8. Severability. If any provision of this Agreement is found to be invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions of this Agreement will remain in full force and effect.

  9. Assignment. The Licensee may not assign or transfer this Agreement or any rights or obligations under this Agreement without the prior written consent of the Licensor. The Licensor may assign or transfer this Agreement
